The art. 12 of d.lgs. n. 175/2016 transposes the conclusions reached by the Italian Corte di cassazione on the liability of publicly-owned companies’ directors (and about and the consequential division between ordinary courts and the Corte dei conti jurisdiction). The paper retraces the fundamental stages of the jurisprudential path that led to this result and highlights some of its contradictory aspects.

Lo scritto commenta una sentenza del Trib. Milano, la quale affronta due temi centrali della interpretazione delle disciplina delle s.r.l., quale risultanate dalla riforma del 2003: 1) se accanto alla legittimazione del singolo socio ad intraprendere l'azione di responsabilità sociale nei confronti degli amministratori, contempalat dall'art. 2476 c.c., si debba ritenere sussistente, pur nel silenzione della norma, anche quella concorrente della società; 2) se, nell'ipotesi affermativa, l'azione debba essere necessariamente deliberata dalla compagine sociale.
